1. Definitions
Foundation Social LLC — The Utah-based company that owns this Site and service.
Site — foundationsocial.io and any connected pages, tools, or services.
Content — All digital items and materials we provide, including templates, graphics, designs, captions, hashtags, AI-generated materials, text, images, videos, and software.
User — Anyone who visits or uses the Site, with or without an account.
User Content — Anything a User uploads, such as photos, text, links, or files. You keep ownership of your User Content.
2. Eligibility
You must be at least 18 and legally able to enter a contract.
Use the Site only for lawful purposes and only in ways permitted by these Terms.
3. International Use
The Site is controlled from the United States. If you access it from outside the U.S., you do so at your own risk and must follow your local laws.
4. Governing Law
These Terms are governed by the laws of the State of Utah.
If any part is unenforceable, the rest still applies.
5. Changes to These Terms
We may update these Terms at any time. The “Last Updated” date shows the latest version. Using the Site after updates means you accept the new Terms.
6. Your Account
If you create an account:
• Keep your login information confidential
• Do not share your account with anyone
• You are responsible for all activity under your account
We may suspend or terminate your account at any time if you violate these Terms.

We collect only the minimum necessary personal information:

8. Rules of Conduct
You agree not to:

You retain ownership of User Content you upload.
By uploading User Content, you give Foundation Social a non-exclusive license to:

• Display it in your account
• Process it for template editing, scheduling, or exporting features
We do not claim ownership of your User Content.
If you delete User Content, we will remove it, although backups may remain.
You are responsible for ensuring that your User Content does not violate any laws or rights.
10. Intellectual Property & Usage Restrictions
Foundation Social owns all rights to:
• Templates
• Designs
• AI-generated captions and hashtags
• Workflow systems
• Graphics, content, and software
• Branding, trademarks, and trade dress
You may not:
• Resell or redistribute any templates
• Reproduce or share Foundation Social content outside of your personal posting use
• Use our Content to build a competing product
• Modify or copy any Foundation Social materials without permission
Templates may ONLY be used inside the Foundation Social platform.
However, you may export final images for posting on your own social media.
11. AI-Generated Content
Foundation Social uses artificial intelligence to generate:
• Captions
• Hashtags
• Post text
• Suggested content
AI outputs may vary.
We do not guarantee accuracy, originality, or results from AI-generated content.
You are responsible for reviewing and approving all AI-generated content before using it.
12. Copyright Policy (DMCA)
If you believe your copyright has been violated, email:
Provide:
• Description of the copyrighted work
• Location of the alleged infringement
• Your contact information
• A statement of good-faith belief
• A statement made under penalty of perjury
• Your signature
We will review and act accordingly.
13. Third-Party Tools & Links
The Site may link to or integrate with third-party services such as:
• Canva
• Scheduling tools
• Payment processors
• Social platforms
We are not responsible for content, policies, or actions of third-party websites.
14. Digital Products & Subscription Terms
Foundation Social provides digital goods and recurring subscriptions.
All sales are final. No refunds.
You may cancel anytime; cancellation applies at the end of the current billing period.
We may change pricing at any time. Continued use after changes means acceptance.
15. Online Purchases
By purchasing from Foundation Social, you confirm:
• You have the right to use the provided payment method
• You authorize us to charge your payment method
• You will keep your billing information up-to-date
We may refuse or limit any order at our discretion.
16. Exporting Templates
Users are allowed to export:
• Final images
• Edited designs
• User-generated posts
Users are NOT allowed to export:
• Raw templates
• Foundation Social master templates
• Unedited Canva links provided through the system
• Any content intended to stay inside the platform
17. Anti-Diversion
You may not:
• Repackage Foundation Social templates
• Sell or share raw designs
• Distribute our original content outside of your personal posting
• Give others access to our materials
Doing so may result in immediate termination.
18. Disclaimer of Warranties
The Site, Content, and services are provided “as is.”
We do not guarantee:
• Error-free operation
• Uninterrupted service
• Exact results from templates or AI
• That Content will meet your expectations
You use the Site at your own risk.
19. Limitation of Liability
To the fullest extent allowed by law:
Foundation Social LLC is not liable for:
• Lost revenue
• Lost data
• Business interruption
• Indirect or incidental damages
• Errors, downtime, or technical issues
Our total liability is limited to the amount you paid in the last 12 months.
20. Termination
We may suspend or terminate your account at any time if you violate these Terms. Upon termination, you must stop using the Site immediately.
21. No Third-Party Beneficiaries
Only Foundation Social and the User may enforce these Terms.
22. Dispute Resolution (Mandatory Arbitration)
Any dispute related to:
• Your use of the Site
• Your subscription
• Our products or services
• These Terms
will be settled by binding arbitration in Salt Lake County, Utah.
Both parties waive:
• Jury trial
• Class actions
• Representative actions
Only individual claims are allowed.
You may bring small claims individually in Utah if eligible.
If arbitration is unenforceable for a particular issue, the dispute must be handled in Utah state or federal courts.
23. Arbitration Process
Arbitration will follow JAMS rules.
Before filing for arbitration, you must email us a written statement describing the dispute.

If unresolved after 30 days, either party may proceed with arbitration.
24. Time Limit for Claims
Any claim must be filed within one (1) year of the event.
After one year, the claim is permanently barred.
25. General Terms
• These Terms are the full agreement
• If a part is invalid, the rest still applies
• You cannot transfer your rights without permission
• We may update or assign these Terms
• Our failure to enforce something is not a waiver
• No partnership or agency relationship is created by your use of the Site
